User Agreement (2009-04-16)

ConnectOut.com is an adult, gay-oriented site providing online information, entertainment, and communication services. By using and/or registering to become a member of ConnectOut.com, you are agreeing to be bound by the terms and conditions of this User Agreement. If you disagree with anything in this agreement, do not use ConnectOut.com or any related services.

By using this website, you represent, warrant and covenant that you are an adult male of at least 18 years of age.

We reserve the right to add, modify, or discontinue, temporarily or permanently ConnectOut.com (or any part of) with or without notice. You agree that LifeOUT Systems, LLC shall not be liable to you or any other third party for such action.

If you would like to register as a member, complete the registration form. By doing so, you agree to provide true and accurate information, and to maintain such information at all times.

ConnectOut.com provides users the option for cancelling their accounts. You can cancel your account by visiting the account cancellation form. By creating an account at ConnectOut.com, you understand the following policy regarding account cancellations:

(*) Your account must be active for at least one week (7 days) before cancellation.

(*) You must wait at least three (3) days after your last username change before cancelling your account.

We reserve the right at all times to charge fees for access to new ConnectOut.com content, or services or to existing portions of ConnectOut.com content or services, or to ConnectOut.com as a whole. In no situation will you be charged for access to any content or service unless we obtain your prior agreement to pay such charges. If you do not consent to such charges, however, you will not have access to paid content or services.

LifeOUT Systems, LLC does not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively, "Content") that you post to ConnectOut.com. After posting your Content to ConnectOut.com, you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose. By displaying or publishing ("posting") any Content on or through ConnectOut.com, you hereby grant to LifeOUT Systems, LLC a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content solely on and through ConnectOut.com.

LifeOUT Systems, LLC Content is protected by copyright, trademark, patent, trade secret and other laws, and LifeOUT Systems, LLC owns and retains all rights for ConnectOut.com Content and services. LifeOUT Systems, LLC hereby grants you a limited, revocable, nonsublicensable license to reproduce and display the ConnectOut.com Content (excluding any software code) solely for your personal use in connection with viewing the ConnectOut.com website and using ConnectOut.com services.

ConnectOut.com contains Content of users and other LifeOUT Systems, LLC licensors. Except for Content posted by you, you may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any Content appearing on or through ConnectOut.com.

These are some basic rules that apply to ConnectOut.com and that you agree to follow. If you violate any of these rules, or if we have reasonable grounds to believe so, we have the right to deny you access to ConnectOut.com, to suspend or terminate your membership and to refuse to provide you with any future access or membership.

You agree not to use ConnectOut.com to:

(*) represent or depict any person that is under 18 years of age.

(*) upload, store or otherwise transmit any: (a) material with is inaccurate, abusive, bigoted, defamatory, harassing, harmful, hateful, inaccurate, invasive of another's privacy, libelous, obscene, racist, threatening, tortuous, unlawful, vulgar, or otherwise objectionable, (b) material that you do not have the right to transmit under any applicable law or under contractual or fiduciary relationships, (c) material that infringes on any patent, trademark, trade secret, copyright, or other proprietary right of any party, (d) advertising, promotional materials, or any other form of solicitation, except where specifically permitted.

(*) advertising to, or solicitation of, any member to buy or sell any products or services through ConnectOut.com. You may not transmit any chain letters or junk email to other members. It is also a violation of these rules to use any information obtained from ConnectOut.com in order to contact, advertise to, solicit, or sell to any member without their prior explicit consent.

(*) copy, modify, create a derivative work of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code of any service provided by LifeOUT Systems, LLC.

(*) impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.

(*) interfere with or disrupt the ConnectOut.com servers, networking or computing equipment.

(*) initiate, facilitate, participate in any malicious action aimed at ConnectOut.com.

(*) try to gain access to areas that are private to LifeOUT Systems, LLC or to other ConnectOut.com members.

(*) violate any applicable local, state, national, or international law or any regulation having the force of law.

(*) stalk or otherwise harass another.

(*) collect, intercept or harvest member information.

(*) collect, intercept or store personal data about other users on ConnectOut.com.

(*) selling or otherwise transferring your profile.

(*) using the account, username, or password of another member at any time or disclosing your password to any third party or permitting any third party to access your account.

You acknowledge that:

(*) we do not pre-screen material posted or transmitted on ConnectOut.com, but that we shall have the right in our sole discretion to review, edit, delete, or refuse to post any material submitted for display on ConnectOut.com. We have the right to remove any material that violates this User Agreement, that we believe in good faith may cause liability for us, or that we deem otherwise objectionable.

You agree to not use the service for the purpose of advertising. We have the right to remove any content and/or account that was created for the purpose of advertising. If you have questions regarding this policy, please contact us before using the services.

LifeOUT Systems, LLC respects the intellectual property of others. If you are an owner or represent the owner of copyright material that you feel has been incorrectly posted on this website, please refer to the DMCA page.

LifeOUT Systems, LLC believes your privacy is paramount, and have created a policy in recognition of your rights to keep personal information personal. Refer to the privacy policy for more details.

You expressly agree that your use of ConnectOut.com including, without limitation, any materials and data developed by LifeOUT Systems, LLC or by any third party, is at your sole risk. LifeOUT Systems, LLC and any content or materials available through the network is provided "as is" and "as available" basis without warranty of any kind, express, implied or statutory.

Listings and advertisements do not constitute an endorsement by LifeOUT Systems, LLC, and therefore LifeOUT Systems, LLC cannot vouch for the quality or authenticity of third-party products or services listed or advertised on this site. LifeOUT Systems, LLC accepts no legal liability for third-party products or services listed or advertised.

While every reasonable effort to maintain the accuracy of all listings on this site, LifeOUT Systems, LLC cannot guarantee that all information is correct or up-to-date. If you, your business or your organization has been represented inaccurately, please contact us immediately, and we will attempt to correct the listing in a timely fashion.

In no event shall LifeOUT Systems, LLC, the information providers or any other person or entity involved in creating or distributing the network be liable for any direct, indirect, incidental, special or consequential damages, however arising and under any theory of liability (including, without limitation, tort, including negligence and strict liability, breach of contract or breach of warranty), that result from your use of or inability to use ConnectOut.com, any changes to ConnectOut.com or this agreement, unauthorized access to or alteration of your transmissions or data, any material or data sent or received or not sent or received, or any transactions entered into through the network. LifeOUT Systems, LLC is not responsible or liable for any threatening, defamatory, obscene, offensive or illegal content or conduct of any other party or any infringement of another's rights, including intellectual property rights. If you are dissatisfied with the network or the services, content or materials available on or through the network, your sole and exclusive remedy is to discontinue using the network. The foregoing limitations on liability shall be applicable even if LifeOUT Systems, LLC or the applicable third party knew or should have known of the possibility of such damages and notwithstanding the failure of essential purpose of any limited remedy. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

This agreement contains the complete and final statement of the understanding between you and LifeOUT Systems, LLC with respect to the subject matter of this agreement and supersedes any and all prior or contemporaneous negotiations, agreements or communications, whether written or oral, between you and LifeOUT Systems, LLC concerning the subject matter of this agreement. If any provision of this agreement is rendered by a court or governmental agency of competent jurisdiction to be invalid, illegal, or unenforceable, such invalidity, illegality or unenforceability shall not affect the remainder of this agreement which shall remain in full force and effect and be enforced in accordance with its remaining terms. The waiver by LifeOUT Systems, LLC of a breach or default of any of the provisions of this Agreement by you shall not be construed as a waiver of any succeeding breach of the same or other provisions; nor shall any delay or omission on the part of LifeOUT Systems, LLC to exercise or avail itself of any right, power or privilege that it has or may have hereunder operate as a waiver of any breach or default by you.
